Troilus Announces C$12 Million Bought Deal Public Offering of Common Shares

April 10, 2019, Toronto, Ontario – Troilus Gold Corp. (TSX:TLG; OTCQB:CHXMF) (“Troilus” or the “Company”) announces that it has entered into an agreement with a syndicate of underwriters co-led by Canaccord Genuity Corp. (“Canaccord”) and GMP Securities L.P. (“GMP”), and including Cormark Securities Inc. (collectively, the “Underwriters”), pursuant to which the Underwriters have agreed to purchase, on a bought deal basis, 14,118,000 common shares (the “Shares”) of the Company at a price of C$0.85 per Share (the “Issue Price”) for gross proceeds of C$12,000,000 (the “Offering”).

The Company has agreed to grant the Underwriters an over-allotment option (the “Over-Allotment Option”), exercisable in whole or in part, to purchase up to an additional 2,117,700 Shares at the Issue Price, for a period of up to 30 days after the closing of the Offering, to cover over-allotments, if any, and for market stabilization purposes. If the Over-Allotment Option is exercised in full, an additional C$1.8 million will be raised pursuant to the Offering and the aggregate gross proceeds of the Offering will be approximately C$13.8 million.

The Company intends to use the net proceeds of the Offering to continue exploration and definition drilling at its Troilus gold and copper project, and for general corporate purposes.

The Offering is scheduled to close on or about May 2, 2019, or such other date as may be agreed to between the Company and the Underwriters (the “Closing Date”) and is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the Toronto Stock Exchange (the “TSX”) and the applicable securities regulatory authorities.

The Shares will be offered by way of a short form prospectus to be filed in all of the provinces and territories of Canada, pursuant to National Instrument 44-101 – Short Form Prospectus Distributions. The securities being offered have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
